B2B Trade Terms & Conditions
These terms apply to approved UNYRA distributor and retailer orders.
Pricing, MOQ & Payment
- The printed MRP and the trade prices shown on this page are inclusive of 18% GST. Trade prices are calculated from the applicable printed MRP.
- Prices, margins, schemes and commercial offers are subject to revision by UNYRA without prior notice.
- Orders will be processed only after 100% advance payment has been received and confirmed by UNYRA.
- Any delay or failure in an agreed payment may result in the related order being placed on hold and may affect future supplies.
- Minimum Order Quantity (MOQ): Distributor – 24 units per SKU; Retailer – 12 units per SKU. Any exception requires prior written approval from UNYRA.
Freight, Delivery & Replacement Claims
- Free freight applies to orders with a billing value above ₹10,000 before GST. Orders below this threshold may attract freight charges.
- Products with an approved manufacturing defect or verified transit damage will be eligible for replacement after inspection and approval by UNYRA.
- Goods once sold are not returnable except where UNYRA approves a claim for manufacturing defect or transit damage.
- Replacement claims must be submitted within 7 days from the date of receipt and must include supporting photographs and a copy of the invoice.
- Freight and related costs arising from customer misuse, mishandling, improper storage or other customer-caused issues shall be borne by the customer.
Brand, Resale & Marketplace Rules
- Products must not be sold above the printed MRP. UNYRA trademarks, logos, labels and other brand assets must not be altered, modified or misrepresented without prior written approval.
- Online sales through e-commerce platforms, marketplaces, social-commerce channels or independent websites require prior written authorization from UNYRA.
- Promotional schemes, discounts and offers may be revised, suspended or withdrawn by UNYRA without prior notice.
- Products must be stored and handled in accordance with the shelf-life, storage and handling instructions stated on the product label or packaging.
- All UNYRA product designs, labels, trademarks, logos and marketing materials remain the intellectual property of UNYRA and may not be reproduced or used without prior approval.
Cancellation, Force Majeure & Jurisdiction
- UNYRA shall not be responsible for delays or failure in delivery caused by events beyond its reasonable control, including natural disasters, government actions, strikes, pandemics, transport disruptions or similar force-majeure events.
- Confirmed orders cannot be cancelled after dispatch. Any cancellation requested before dispatch is subject to UNYRA's written approval.
- All disputes shall be subject to the exclusive jurisdiction of the courts at Hoshiarpur, Punjab.
Commercial terms may be updated by UNYRA. The version accepted with a confirmed order or written trade agreement will govern that transaction.
